Terms of Service
Welcome to Smart Sifty ("Service"), operated by CORTX AI LIMITED ("we", "our", "us", "Company"). These Terms of Service ("Terms") govern your access to and use of our platform located at app.smartsifty.com and the associated API services ("Platform"), including any content, functionality, and services offered therein. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.
Smart Sifty is an AI-assisted recruitment scoring system designed to support qualified human recruiters in their candidate assessment workflows. By using the Service, you acknowledge that Smart Sifty is a decision-support system and agree to the human oversight obligations set out in Section 6 below.
1. Definitions
- "User", "You", and "Your": Refer to the individual or entity (the Client) accessing or using the Service.
- "Company", "We", "Us", and "Our": Refer to CORTX AI LIMITED.
- "Service": Refers to the Smart Sifty platform, web application, API, and any related services provided by the Company through the Platform.
- "Aurora" and "Meridian": Smart Sifty product profiles that determine which underlying foundation model is used for inference. Aurora and Meridian are trademarks of CORTX AI LIMITED. Neither is a custom-trained or fine-tuned model.
- "Candidate": An individual whose CV is submitted to the Service for assessment against a Job Description.
- "Job Description" or "JD": The text or document describing a job role submitted to the Service.
- "CV": A candidate's curriculum vitae, résumé or equivalent professional history document submitted to the Service.
- "Scoring Output": The category-level scores, overall match score, written observations and any other analytical output generated by the Service in response to a JD and CV pair.
- "Credits": Virtual currency used within the Service to access various features and functionalities.
- "Content": Any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials uploaded, downloaded, or appearing on the Service.
- "User Content": Any JD, CV, candidate data, or other material uploaded by you to the Service.
- "Privacy Policy": Our Privacy Policy, which governs the collection, use, and disclosure of personal information processed through the Service.
- "EU AI Act": Regulation (EU) 2024/1689 of the European Parliament and of the Council laying down harmonised rules on artificial intelligence.
- "GDPR": The UK GDPR and/or EU General Data Protection Regulation (Regulation (EU) 2016/679), as applicable.
2. Eligibility
- Age Requirement: You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.
- Legal Capacity: You must have the legal capacity to enter into these Terms and to comply with all applicable laws and regulations.
- Authority: If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
- Professional Use: The Service is intended for professional use by recruiters, employers, recruitment agencies, HR teams, and similar authorised parties in the context of legitimate recruitment activities.
3. Account Registration
- Account Creation: To access the Service, you must register for an account by providing accurate, current, and complete information.
- Account Security:
- You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys issued to you.
- You agree to notify us immediately at security@smartsifty.com of any unauthorized use of your account or any other breach of security.
- Account Responsibility: You are responsible for all activities that occur under your account or via your API keys. We reserve the right to suspend or terminate your account if any unauthorized or unlawful activity is detected.
- Account Information: You agree to provide and update your account information to keep it accurate, current, and complete.
4. Service Description and Nature of the AI System
- What Smart Sifty Does: Smart Sifty is an AI-assisted scoring system that processes Job Descriptions and candidate CVs and produces structured analytical output (category-level scores, an overall match score, and written observations) to support recruiter judgment.
- What Smart Sifty Does Not Do: Smart Sifty does not make hiring decisions. It does not contact candidates, does not reject candidates, does not progress candidates, and does not take any action on candidates without explicit human initiation by the Client.
- Decision-Support Nature: Scoring Output is informational and intended to support human decision-making. It is not a binding recommendation, not a hiring decision, and not a substitute for the recruiter's professional judgment.
- Underlying Models: Smart Sifty operates Aurora and Meridian as product profiles configured on top of third-party foundation models (currently provided by xAI Corp. and Anthropic via AWS Bedrock respectively). Neither model is trained, fine-tuned, customised or modified by CORTX AI LIMITED in respect of its weights.
- Inference Region: All foundation model inference is performed in EU regions, supporting EU/UK data residency requirements for personal data processing.
5. Permitted Use and Restrictions
5.1 Permitted Use
- You may use the Service solely for lawful purposes and consistent with these Terms.
- You may use the Service to support your own internal recruitment and candidate-assessment processes, or those of your clients where you are operating as a recruitment agency or similar authorised intermediary.
5.2 Prohibited Activities
You shall not, and shall not permit any third party to:
- Reverse Engineering of Methodology: Reverse engineer, decompile, disassemble or attempt to derive or reconstruct the underlying scoring methodology, prompts, weights, thresholds, mappings, algorithms or any other proprietary technical element of Smart Sifty, including through systematic probing or input/output analysis.
- Competing AI Systems: Use Scoring Output or any other Service output to train, fine-tune, benchmark against, or develop any competing artificial intelligence model, recruitment scoring system, candidate assessment product or similar service.
- Resale and Sublicensing: Resell, sublicense, redistribute, lease or otherwise make the Service available to third parties as a standalone offering without our prior written consent.
- Automated Decision-Making: Deploy the Service in any workflow that automates rejection, progression, contacting, interviewing or hiring of candidates without meaningful human review of each candidate (see Section 6).
- Unlawful Use: Use the Service for any illegal purposes or in violation of any applicable laws and regulations, including employment law, anti-discrimination law, data protection law, or the EU AI Act.
- Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service, other user accounts, or computer systems or networks connected to the Service.
- Interference: Interfere with or disrupt the integrity, security or performance of the Service or any data contained therein.
- Automation Abuse: Use any automated means, including bots, scrapers or scripts, to access the Service in contravention of our API rate limits or documented usage boundaries.
- Misrepresentation: Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Circumvention of Controls: Circumvent or attempt to circumvent any security, rate-limit, authentication, audit or other technical control of the Platform.
- Harmful Content: Upload, distribute or store any illegal, harmful, malicious or infringing content via the Service.
- Spam and Harassment: Transmit unsolicited bulk or commercial communications, or engage in conduct that restricts or inhibits anyone's use or enjoyment of the Service.
5.3 Responsibility for User Content
- Accuracy and Legitimacy: Workspace managers and authorized users are solely responsible for the accuracy, legitimacy, and appropriateness of the CVs and JDs they upload to the Service.
- Legal Basis for Processing Candidate Data: You represent and warrant that you have a valid legal basis under applicable data protection law (including GDPR) to process the personal data of each Candidate whose CV you submit to the Service, and that you have provided Candidates with all required notices and information about the processing, including the involvement of AI-assisted analysis.
- Verification: It is your responsibility to verify the authenticity and accuracy of the CVs you process.
- Malicious or Fraudulent Content: We are not responsible for any malicious technology, fake CVs, or fraudulent information contained within uploaded CVs.
- Compliance: You must ensure that all CVs, JDs and related content comply with applicable laws, regulations, and industry standards in your jurisdiction and in any jurisdiction where Candidates are located.
6. Human Oversight and Decision-Making (AI Act / GDPR)
6.1 Decision-Support System
You acknowledge that Smart Sifty is a decision-support system. Scoring Output is informational and intended to support human decision-making by qualified recruiters. You are solely responsible for ensuring that no hiring, screening, rejection, progression or candidate-contact decision is made on the basis of Scoring Output alone.
6.2 Meaningful Human Review
Before any hiring, screening, rejection, progression or candidate-contact decision is taken in relation to a Candidate, a qualified human decision-maker on your side must perform meaningful review of the Candidate's record, including the original CV and the Scoring Output. This obligation applies whether you access the Service through the web application or via the API.
6.3 No Automated Decision-Making
You agree not to deploy the Service in any workflow that automates rejection, progression, contacting, interviewing or hiring of Candidates without meaningful human review. The Service is not designed to and must not be used to make solely-automated decisions within the meaning of GDPR Article 22.
6.4 EU AI Act — High-Risk AI System Acknowledgment
You acknowledge that Smart Sifty operates in the recruitment and employment context, which falls within Annex III of the EU AI Act as a high-risk AI system. To the extent the EU AI Act applies to your use of the Service, you agree to fulfil all obligations of a Deployer of a high-risk AI system in your jurisdiction, including but not limited to:
- Maintaining human oversight of the system in accordance with Article 14 of the EU AI Act;
- Informing affected Candidates of the use of the system where required by applicable law, including under Article 86 of the EU AI Act from 2 August 2026;
- Providing Candidates with clear and meaningful explanations of decisions where required by law;
- Maintaining records of system use as required by applicable law;
- Reporting serious incidents to the relevant authorities in accordance with Article 26 of the EU AI Act;
- Conducting fundamental rights impact assessments where required by Article 27 of the EU AI Act.
6.5 Non-Discrimination
You agree to use the Service in compliance with applicable anti-discrimination and equality law, including the UK Equality Act 2010 and equivalent legislation in your jurisdiction. You acknowledge that Smart Sifty processes CV-derived text and that scoring outputs should be reviewed in conjunction with the original CV by a qualified human decision-maker before any decision affecting a Candidate.
7. Credits and Payments
7.1 Credits
- Purchase of Credits: You purchase Credits to utilise features and functionalities within the Service.
- Cost per CV Processed: The standard cost is £0.05 per CV processed.
- Coupon Codes: If a valid coupon code is applied, the cost per CV processed may be reduced or waived as specified by the coupon. Coupon codes must be entered at the time of purchase and are subject to the terms and conditions specified with the coupon.
- Non-Refundable: All Credits purchased are non-refundable, except where required by applicable law.
- Usage: Credits can only be used within Smart Sifty to access features and services. They cannot be redeemed for cash, transferred to another user, or used outside the Service.
- Expiration: Credits do not expire unless otherwise specified. We reserve the right to modify the expiration policy upon providing reasonable prior notice.
7.2 Payments
- Payment Processor: All payments for Credits are processed through our payment provider, Stripe.
- Authorization: By providing a payment method, you represent and warrant that you are authorized to use the payment method and authorize us and Stripe to charge your payment method for the total amount of your purchase.
- Billing Information: You agree to provide accurate and complete billing information. Any changes to your billing information must be promptly updated in your account settings.
- Recurring Payments: If applicable, subscriptions or recurring purchases will be billed automatically using your chosen payment method. You may cancel recurring payments at any time through your account settings or by contacting our support team.
7.3 No Refunds
- Final Sale: All purchases of Credits are final. Credits are non-refundable and cannot be exchanged for cash under any circumstances, except where required by applicable law.
- Technical Issues: In the event of technical issues preventing the use of purchased Credits, please contact our support team at support@smartsifty.com for assistance. We will evaluate each case individually.
- Disputes: Any disputes regarding payments or Credits must be raised within thirty (30) days of the transaction date.
8. Data Protection and Privacy
8.1 Data Processing Roles
With respect to personal data processed through the Service:
- The Client (you) acts as Data Controller of Candidate personal data submitted through the Service;
- CORTX AI LIMITED acts as Data Processor on the Client's behalf;
- Sub-processors engaged for the provision of the Service are listed in Section 8.3 below;
- The Data Processing Agreement (DPA) available on request at privacy@smartsifty.com governs the parties' respective data protection obligations and is incorporated by reference into these Terms.
8.2 PII Handling and Bias Mitigation
As part of the scoring workflow, Smart Sifty applies personally identifiable information (PII) substitution to CV-derived contact and identity fields before the scoring stage, to reduce identity-based bias risk during model inference. This is a technical control built into the Service and is described further in the Privacy Policy and technical documentation.
8.3 Sub-processors
You authorise CORTX AI LIMITED to engage the following sub-processors for the provision of the Service:
- Amazon Web Services EMEA SARL — cloud infrastructure and Bedrock model inference, EU regions;
- xAI Corp. — Grok model inference;
- Stripe Payments Europe Ltd. — payment processing;
- Any additional sub-processors will be notified to you through our Privacy Policy or by direct communication prior to engagement, in accordance with the DPA.
8.4 Security and Compliance
- Information Security: We implement appropriate technical and organisational measures to protect your data, aligned with the principles of ISO/IEC 27001 and ISO/IEC 42001.
- Encryption: All data transmitted between your device and our servers is encrypted using industry-standard protocols (e.g., TLS).
- Access Controls: We implement strict access controls to ensure that only authorized personnel can access your data.
- Compliance: We comply with applicable data protection laws and regulations, including the UK GDPR and EU GDPR.
- Data Retention: We retain your data only for as long as necessary to provide the Service or as required by law. Details are set out in our Privacy Policy.
8.5 Privacy Policy
Our Privacy Policy is incorporated into these Terms by reference and governs how we collect, use, store and disclose personal data. By using the Service, you also agree to the terms of our Privacy Policy.
9. Intellectual Property
- Ownership: All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, software, data compilations, the Smart Sifty scoring methodology, the Aurora and Meridian product profiles, prompts, scoring instructions, thresholds, mappings, calibration values, and all related know-how, are the exclusive property of CORTX AI LIMITED or its licensors and are protected by intellectual property and trade secret laws.
- Trade Secrets: The specific text of the Smart Sifty scoring methodology, including category criteria, weighting structures, threshold values, level mappings, prioritisation rules and observation-generation rules, is a trade secret of CORTX AI LIMITED. You acknowledge that you receive no licence to or right in such trade secrets by virtue of these Terms or by using the Service.
- Licence Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own internal business purposes during the term of these Terms.
- Restrictions: You may not:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content, software, products, or services obtained from the Service, except as expressly permitted herein.
- Reverse engineer, decompile, or disassemble any part of the Service or its underlying technology, or otherwise attempt to derive the proprietary methodology, prompts or calibration values.
- Remove, alter, or obscure any proprietary notices or labels on the Service.
- Use the Service's outputs to train or fine-tune any competing artificial intelligence system.
10. User Content
10.1 Ownership
- Your Content: You retain ownership of any CVs, job descriptions, and other content you upload to the Service ("User Content").
- Scoring Output: Subject to your compliance with these Terms and payment of applicable fees, you own the Scoring Output generated for you in response to your User Content, for use within your internal recruitment processes. This ownership is subject to the restrictions in Section 5.2 (in particular, the prohibition on using Scoring Output to train competing AI systems).
10.2 Licence to Us
- Grant of Rights: By uploading User Content, you grant us a limited, worldwide, royalty-free, non-exclusive licence to host, process, transmit, display and otherwise use the User Content solely as necessary to provide, operate, maintain, secure and improve the Service, and as further described in the DPA.
- No Model Training: We will not use your User Content, or the personal data of Candidates within it, to train or fine-tune any foundation model, our proprietary methodology, or any AI system. Use of underlying third-party foundation model providers (AWS Bedrock, xAI) is subject to their respective terms, under which we do not opt in to model improvement using customer data.
- Termination of Licence: The licence granted to us for User Content will terminate when you remove the User Content from the Service or terminate your account, except to the extent necessary to comply with legal obligations or to maintain audit and backup records as described in the DPA.
10.3 Content Standards
You agree not to upload or transmit any User Content that:
- Infringement: Infringes any third party's intellectual property rights.
- Illicit Material: Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Malicious Content: Contains viruses or other malicious code.
- Privacy Violations: Reveals personal information about others without an appropriate legal basis or required notices having been provided.
- False Information: Contains knowingly false or misleading information.
10.4 Monitoring and Enforcement
- Right to Remove: We reserve the right to remove any User Content that violates these Terms or is deemed inappropriate, without prior notice.
- No Obligation: We have no obligation to monitor, review, or edit User Content, but we reserve the right to do so to ensure compliance with these Terms.
11. API Use
- API Access: Access to the Smart Sifty API requires an active account, a valid API key and adherence to the technical documentation published at docs.smartsifty.com or equivalent location.
- API Keys: API keys are confidential. You are responsible for protecting your API keys and for all activity carried out using them. Compromised keys must be reported immediately to security@smartsifty.com.
- Rate Limits and Quotas: The API is subject to rate limits, processing-time limits, content-size limits and credit-based usage controls as described in the documentation. You agree not to circumvent these controls.
- Human Oversight via API: Where you access the Service through the API, the human oversight obligations in Section 6 continue to apply. You are responsible for ensuring that downstream systems consuming Scoring Output incorporate meaningful human review before any decision affecting a Candidate.
12. Termination
12.1 Termination by Us
We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms.
- Engaging in prohibited activities (Section 5.2).
- Use of the Service in a manner that creates legal, regulatory or security risk for the Company or for Candidates.
- Inactivity of your account for an extended period as determined by us.
- At our sole discretion, for any other reason.
12.2 Termination by You
You may terminate your account at any time by contacting our support team at support@smartsifty.com. Upon termination:
- Your right to use the Service will cease immediately.
- All provisions of these Terms which by their nature should survive termination shall survive.
- Any unused Credits will be forfeited unless otherwise required by law.
12.3 Effects of Termination
Upon termination of your account:
- All unused Credits will be forfeited.
- Any outstanding payments owed by you will become immediately due and payable.
- We will cease all licences and other rights granted to you in these Terms.
- Any data associated with your account will be handled in accordance with our Privacy Policy and the DPA, including retention or deletion requirements.
13. Disclaimers and Limitation of Liability
13.1 Disclaimers
- As-Is Basis: The Service is provided on an 'AS IS' and 'AS AVAILABLE' basis without any warranties of any kind, either express or implied, except as required by applicable law.
- No Warranty of Accuracy: We do not guarantee the accuracy, completeness, or reliability of any Scoring Output. Scoring Output is decision-support information, not a definitive assessment of any Candidate.
- No Responsibility for User Content: We are not responsible for the content of CVs or JDs uploaded to the Service, including malicious technology, fake CVs, or fraudulent information.
- No Responsibility for Client Decisions: We are not responsible for any hiring, screening, rejection or progression decision made by you or any third party in relation to a Candidate, including any consequences of such decision.
- Third-Party Services: We are not responsible for the availability, accuracy, or content of any third-party services or resources linked to or from the Service.
- Fitness for Purpose: We do not warrant that the Service will meet your specific requirements or that its operation will be uninterrupted or error-free.
13.2 Limitation of Liability
- Excluded Damages: To the fullest extent permitted by law, CORTX AI LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, reputation, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Service.
- Any conduct or content of any third party on the Service.
- Any content obtained from the Service.
- Any decision made by you in respect of a Candidate.
- Unauthorized access, use, or alteration of your transmissions or content.
- Cap on Liability: In no event shall our total liability to you for all claims arising out of or related to these Terms or the Service exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim, or one hundred British Pounds (£100), whichever is greater.
- Statutory Rights: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless CORTX AI LIMITED and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms.
- Your use of the Service.
- Your User Content.
- Any hiring, screening, rejection, progression or candidate-contact decision made by you or under your authority in respect of a Candidate.
- Any failure by you to provide required notices to, obtain required legal basis from, or maintain meaningful human review in respect of Candidates.
- Any claim by a Candidate or third party that your use of the Service caused them damage.
- Your violation of any applicable laws or regulations.
15. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
16. Dispute Resolution
16.1 Arbitration
- Binding Arbitration: Any disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in London, England, in accordance with the rules of the London Court of International Arbitration (LCIA).
- Exclusions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for breaches of confidentiality, intellectual property, trade-secret or other proprietary rights.
16.2 Waiver of Class Actions
You agree to waive any right to participate in a class action or other representative proceeding against us, to the extent permitted by applicable law.
17. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Platform, with an updated "Last Updated" date at the top of the Terms. For material changes, we will provide additional notice (such as in-app notifications or email).
Your continued use of the Service after the changes become effective constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

19. Miscellaneous
19.1 Entire Agreement
These Terms, together with our Privacy Policy, the DPA, and any other policies referenced herein, constitute the entire agreement between you and CORTX AI LIMITED regarding your use of the Service and supersede all prior agreements, understandings, and representations.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
19.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any provision of these Terms shall be valid unless in writing and signed by an authorised representative of CORTX AI LIMITED.
19.4 Assignment
- By You: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempt to do so is void.
- By Us: We may assign or transfer our rights and obligations under these Terms at our sole discretion, including in connection with a merger, acquisition, reorganisation, or sale of assets.
19.5 Force Majeure
CORTX AI LIMITED shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, governmental regulations, or failures of third-party infrastructure or foundation-model providers.
19.6 Headings
Headings in these Terms are for convenience only and have no legal or contractual effect.
19.7 No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and CORTX AI LIMITED.
19.8 Third-Party Rights
Except as expressly stated, these Terms do not confer any rights or benefits to any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
19.9 Feedback
If you provide us with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to us all rights in such Feedback and acknowledge that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate without any obligation to you.
19.10 Electronic Communications
By using the Service, you consent to receive electronic communications from us. These communications may include notices about your account and information concerning or related to the Service. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
19.11 Survival
Sections relating to Intellectual Property, Trade Secrets, Confidentiality, Indemnification, Limitation of Liability, Governing Law, Dispute Resolution, and any other provision which by its nature is intended to survive termination, will survive termination or expiry of these Terms.
